Britti, who has a 23 % stake in Kph Dream Cricket Private Limited, has submitted a civil lawsuit in the Shandigar court seeking to declare illegal EGM. It claims that the meeting was held and conducted in violation of the Corporate Law, 2013, and secretarial standards. According to the submission of its contact, the meeting did not follow the appropriate procedures required under the company’s law and related secretarial regulations.
The controversy escalated when Zinta raised objections to the meeting via an email dated April 10, which she claimed was ignored. Despite her opposition and director Karan Paul, Zinta and Paul opposed the nomination of Monch Khana as a new director during EGM. However, Burman continued, with the support of Wadia, the meeting and the appointment of Khana.
The main disagreement point was the appointment of the head of the meeting. Zinta and Paul objected to Nice Wadia as president, citing the principle of 5.1 of the secretarial standards, which imposes that managers are electing a president between them if none of them was determined in advance. The vote for the presidency was divided between the four managers present, which increased the complexity of the legitimacy of the meeting.
In its legal file, Zinta sought to declare the court to cancel EGM and prevent Muneesh Khanna from assuming guidelines. It also requested a judicial order to prevent the company from implementing any decisions taken during the disputed meeting. In addition, the lawsuit seeks to prevent the company from conducting any other meetings or general meetings without the presence of both Zinta and Paul, and without the participation of Khana, until the case is resolved.
The court issued notifications for the respondents-Kph Dream Cricket Private Limited and the co-managers of Mohit Burman and Ness Wadia- The next session is scheduled for May 27, where arguments will be presented on a temporary judicial order.
