ODP, the owner of the Detot and OfficeMax retail office, has signed a final agreement to purchase by ATLAS Holdings.

The agreement sets the purchase price at $ 28 per share in cash.

This represents a 34 % installment compared to the ODP price on September 19, 2025, and it is estimated at about one billion dollars.

Once the acquisition is completed, ODP will become a private company.

The shared shares will then be removed from the inserts on the Nasdak Stock Exchange.

The company, which is based in Boca Raton, Florida, stated that its council has approved the deal, which is expected to conclude by the end of 2025.

The completion of the deal is subject to organizational clearance and the approval of the shareholders.

“The ODP leadership has already taken several steps to reduce the difficult retail environment, and we are the right partners to support the continuous ODP development in the next chapter,” said Michael Sher, ATLAS administrative partner.

“We look forward to completing this transaction, which will provide a positive result for ODP partners, customers, suppliers and shareholders.”

Atlas Holdings runs a global group of manufacturing and distribution companies.

JP Morgan Securities works as an exclusive financial consultant for ODP Corporation, where she worked Simpson and Thacher & Bartlett as a legal advisor.

Lazard Atlas Holdings is recommended, while Willkie Farr & Gallagher provides legal advice.

Jerry Smith, CEO of ODP Corporation, said: “Atlas brings an understanding of our industry, as well as operational experience, resources and tracking registry to support its companies that will refer our B2B growth initiatives and enhance our position as a reliable partner for our customers.

“Atlas’s commitment shows their confidence in our future and the strong momentum that we have achieved through our focus on operating excellence and disciplined implementation. We are excited about our path for the future.”

In January 2021, Office Depot He refused to try to acquire Made by a food competition company.
